Entity structure and relationships. Decentralized Masters is operated by DM Intelligence LLC ("DM"), an educational training and coaching platform. Inflection Club is a separate, private investment vehicle. IC Management LLC serves as investment manager for Inflection Club's investments and is compensated in the form of carried interest on investment gains. IC Management LLC is an affiliate of DM under common ownership/control; Tan Gera and Salim hold interests in and/or serve as principals of both DM and IC Management LLC. This is a material conflict of interest: DM has a financial incentive to promote Inflection Club membership to its own paying members, and IC Management LLC's compensation is tied to investment outcomes it recommends.
Regulatory status. IC Management LLC has submitted an application for registration as an investment adviser with the U.S. Securities and Exchange Commission. That application is currently pending. IC Management LLC is not currently registered as an investment adviser or broker-dealer with the SEC or any state securities regulator, and neither DM nor Inflection Club is a registered broker-dealer. A pending application is not, and should not be understood as, SEC approval, endorsement, or evaluation of IC Management LLC, its personnel, Inflection Club, or any investment referenced on this site or in related communications.
Accredited investors only; verification required. Access to Inflection Club investment opportunities is limited to accredited investors, as defined under Rule 501 of Regulation D. Nothing on this site is directed to, or intended for, anyone who is not an accredited investor. Before any investment is accepted, IC Management LLC will require documented verification of accredited investor status (such as review of income, net worth, or professional-certification documentation, or written confirmation from a qualified third party); self-certification alone is not sufficient and will not be relied upon.
